Terms of Service

These terms are a contract between you and Select, Inc. for the ShogunAI Mac app, the shogunaios.com website and related services. Please read them before you buy. The English text governs; translations are provided for convenience.
1. Who we are
ShogunAI is provided by Select, Inc. (株式会社Select), corporate number 7050001049777, 2-5-1 Azuma, Tsukuba-shi, Ibaraki 305-0031, Japan. Representative: Toru Tano. Contact: info@shogunaios.com. Our full legal notice is on the Legal notice page.
2. Eligibility
You must be at least 18 and able to enter a binding contract. If you use ShogunAI for an organisation, you confirm you may bind it. If you are a consumer, you keep every right the law of your country of residence gives you that cannot be waived.
3. Trial
Your 7-day trial starts the first time you open the app and includes every Pro feature. You do not need a payment method to start it, and it does not turn into a paid plan by itself. If it ends without a plan, the app stops capturing and locks your memory (search, AI features, browsing and export) until you choose a plan. Your local data is not deleted: it stays on your Mac, and choosing a plan restores access to all of it. Buying a plan, settings and privacy controls, and deleting your data stay available at all times.
4. Plans and prices
Standard and Pro are subscriptions billed monthly or yearly, in US dollars, at the prices shown on the pricing page and at checkout. Prices exclude tax. Where tax applies, it is calculated and added at checkout before you pay. Chat, context actions, drafts and other agent features run on credentials you hold: a supported assistant subscription you are signed in to, or an API key you add. Those providers charge you under their own terms. Meeting transcription uses a speech-recognition key you add.
5. Billing and automatic renewal
Your subscription renews automatically at the end of each billing period, at the then-current price, until you cancel. For a yearly plan we email you 30 days before each renewal. A monthly plan renews each month without a separate reminder. Payments are processed by Stripe; we never see or store your card number. Card statements show SHOGUNAI.
6. Cancelling
You can cancel at any time from the app (Settings › Plan & billing) or from the billing page linked in your receipts. Cancelling stops the next renewal. You keep access until the end of the period you have paid for, and we do not refund the rest of that period except as described under Refunds. When a paid plan ends and is not renewed, the app works as described under Trial for a trial that has ended.
7. Refunds
If you ask within 14 days of your first payment, we refund that payment in full. Email info@shogunaios.com from the address you bought with. Renewal payments are not refunded, except where the law requires it. If you have a statutory right of withdrawal, this 14-day refund is at least as generous, and you agree that the service starts as soon as you pay.
8. Launch codes and promotions
A promotional code works only under the conditions shown when it is offered. For example, a launch code may make the first month of a monthly plan free: you add a card when you redeem it, and the first payment is taken one month later unless you cancel before then. Codes cannot be combined, exchanged for cash, or used after they expire or run out.
9. Your Mac and access
Your plan is activated on the Mac you buy it from and belongs to you. To move it to another Mac, or after reinstalling, contact us and we will move it. Do not share, resell or transfer it. The app checks your plan with our servers regularly. If it cannot reach them, it keeps working for 14 days, then paid features pause until it can. We may end access that was shared, resold or obtained by fraud.
10. Your data
Your work memory is stored on your Mac, encrypted, and is not uploaded as a whole. Only the context a feature you use needs is sent to the provider that serves it, and the app names that provider before you turn the feature on. You can pause capture, exclude apps and websites, and delete a time range or everything. Our Privacy Policy explains the records we hold on our side (billing, plan and support) and the providers we use.
11. Connected services
You may connect model providers, speech recognition, email and other services. You are responsible for having the right to use them, for their fees and limits, and for keeping their keys and sign-ins safe. They are governed by their own terms. Integrations that route data through a third party ask for your consent first, and you can withdraw it in Settings.
12. AI output
ShogunAI writes text and suggestions from your work context. Output can be incomplete, outdated or wrong. Check it before you rely on it. Anything that sends, posts or creates an event on your behalf always waits for your approval.
13. Acceptable use
Do not use ShogunAI to break the law, infringe anyone's rights, probe or disrupt our systems, get around plan checks or limits, or extract the app's code or prompts except as the law allows. We may suspend access for abuse, a security risk or a legal requirement, and we will tell you why unless the law prevents it.
14. Ownership
We own ShogunAI. You own your content and, as far as the law allows, the output made from it. You give us only the permission we need to run the service for you.
15. Changes and early-access features
We update the app and may change or remove features. Features marked early access, preview, beta or coming soon may change and are not promised for any date. If we materially reduce what your paid plan includes, you may cancel and we will refund the unused part of a prepaid period.
16. Warranty and liability
As far as the law allows, ShogunAI is provided as is. We are not liable for indirect or consequential loss, for data you did not back up, or for what third-party services you connect do. Our total liability for any claim is limited to what you paid us in the 12 months before it. Nothing here limits liability that the law does not allow to be limited, including for death, personal injury or fraud, or your rights as a consumer.
17. Ending these terms
You may stop using ShogunAI at any time. We may end these terms after notice if you seriously breach them, or immediately for fraud or abuse. Sections that by their nature should continue (ownership, liability, governing law) survive.
18. Changes to these terms
We may update these terms. For a material change we tell you at least 30 days ahead by email or in the app. If you do not agree, cancel before it takes effect and we will refund any unused prepaid period.
19. Governing law and courts
These terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance. If you are a consumer, this does not take away the protection of the mandatory laws of your country of residence, or your right to bring or defend a claim in its courts.
